1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BabyReady ("we," "us," or "our") regarding your use of the BabyReady mobile application (the "App") and any related services provided by BabyReady.

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the App.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you are at least 13 years old and that your use of the App does not violate any applicable laws or regulations.

3. Account Registration

To use certain features of the App, you may need to create an account. When you create an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your account credentials secure and confidential
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, incomplete, or fraudulent.

4. App Features and Functionality

The BabyReady App provides the following core features:

Creating and managing lists of baby items
Setting and tracking budgets for baby preparations
Organizing items by category and priority
Tracking purchase status and spending
Storing information about where to purchase items
Personalizing preparation timelines based on due date

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time without notice or liability.

5. One-Time Purchase

The App is available as a one-time purchase of $8.99. This purchase:

Provides full access to all App features
Does not include any recurring subscription fees
Is subject to the refund policies of the platform through which you purchased the App (e.g., Apple App Store)
May include access to future updates at our discretion

We reserve the right to change the pricing for future purchasers of the App.

6. User Content

The App allows you to create, upload, store, and share content, including item lists, budgets, and other information ("User Content"). You retain all rights to your User Content, but you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, and display your User Content in connection with operating and providing the App.

You represent and warrant that:

You own or have the necessary rights to your User Content
Your User Content does not violate the rights of any third party
Your User Content complies with these Terms and all applicable laws

We are not responsible for any User Content and do not endorse any opinions expressed in User Content.

7. Prohibited Conduct

You agree not to:

Use the App for any illegal purpose or in violation of any laws
Attempt to gain unauthorized access to the App or its systems
Interfere with or disrupt the App or servers connected to the App
Reverse engineer, decompile, or disassemble the App
Create derivative works based on the App
Use the App to transmit viruses, malware, or other harmful code
Use automated means to access or collect data from the App
Impersonate any person or entity or misrepresent your affiliation

8. Intellectual Property Rights

The App, including its content, features, and functionality, is owned by BabyReady and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the App or our intellectual property.

"BabyReady," associated logos, and other trademarks used in connection with the App are trademarks of BabyReady. All other trademarks, service marks, and logos used in the App are the property of their respective owners.

9. Third-Party Services

The App may integrate with or link to third-party services, websites, or resources. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will function without interruption or errors, that defects will be corrected, or that the App is free of viruses or other harmful components.

The App provides information and tools to help you plan and budget for baby items, but we do not guarantee the accuracy, completeness, or reliability of any content or recommendations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BABYREADY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP.

12. Indemnification

You agree to defend, indemnify, and hold harmless BabyReady and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We may revise these Terms at any time by updating this page. By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BabyReady operates, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising from or relating to these Terms or the App shall first be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and BabyReady regarding the App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the App.
